ATTENTION: Before you order any products through the Friends & Family website, these are the applicable terms we need to bring to your attention. Please read the terms carefully. By placing an order on the site, you agree to these terms. If you do not agree with these terms, please do not continue with your order.

ABOUT US

1. This website is operated by Techtronic Industries Nordic ApS (“we”, “us”, “our” or “TTI”) and these terms (“Terms”) apply to goods supplied directly to you by TTI based on your order via this website. Our registered office is at Stamholmen 147, 2650 Hvidovre, Copenhagen, Denmark.

FORMATION OF THE CONTRACT

2. The shopping pages of our website will guide you through the steps you need to take to place an order with us. Our order process allows you to check and amend any errors before submitting your order to us. Please take the time to read and check your order at each page of the order process. After you place an order, you will also be taken to the payment gateway for you to make a payment. You will receive an “Order Confirmation” confirming that your order has been accepted. Orders will only be processed for despatch after your payment is confirmed by the payment gateway. The contract between us will only be formed when we send you the Order Confirmation. If we are unable to accept your order (or any part thereof) we'll use reasonable endeavours to inform you of this. This might be inter alia because the goods are out of stock, because of unexpected limits on our ability to provide them, where your payment has been declined or declined in part, where we have identified an error in the price or description of the goods or because we are not able to meet a delivery deadline agreed with you. In some circumstances (i.e. where the order relates to multiple goods) where we can deliver part of an order but not the remainder, we may not inform you but simply provide some of the goods available and refund you for those we cannot supply. If you have already paid for the goods and we can't supply these, we will refund you the full amount which may have been charged at the time of the sale as soon as possible.

3. The contract is subject to your cancellation rights (see clauses 16 to 19 below).

4. We may amend these Terms from time to time by uploading a revised version to the website. Every time you wish to order goods, please check these Terms to ensure you are familiar with the most up to date version and that you understand the terms which will apply to your purchase.

DESCRIPTION AND PRICE OF GOODS

5. The description and price of the goods ordered will be as shown in the online shop at the time the order is placed.

6. All goods are subject to availability. As described in clause 2 above, if on receipt of your order the goods are not available or in stock, TTI will refund you for these goods to your credit or debit card you used for the original purchase.

7. Every effort is made to ensure that prices shown on the website are accurate at the time your order is placed but we cannot warrant price accuracy in every case. If the goods that you have ordered were incorrectly priced, we will inform you as soon as possible and offer you the option of reconfirming your order at the correct price or cancelling your order. If you cancel, TTI will refund any sum that has been paid by you following the refund procedure or debited from your credit or debit card for the incorrectly priced goods.

8. In addition to the price of the goods, you are required to pay a delivery charge for delivery of the goods, as shown when you place the order on the website, prior to you making the payment. This charge will be brought to your attention at the time you place your order for the goods. We will always ensure that you are shown the total price that you have to pay (inclusive of delivery charges) at the time that you submit your order to us.

9. The price of all goods and delivery charges are inclusive of VAT at the point you place the order.

PAYMENT

10. Payment for the goods and delivery charges can be made using any of the methods shown on the website at the time you place your order. Payment is taken when the Payment Gateway (Paypal) confirms the payment is accepted/confirmed, we will then send you a confirmation (“Invoice”) that the payment has been accepted with the reference number of the payment made.

DELIVERY

11. Goods ordered will be delivered to the exact address you give when you place your order. Deliveries cannot be made outside of Denmark. You are responsible for ensuring accurate address and contact details (including phone number) are included in your order.

12. If there is no-one at the given address who is able to accept delivery of the goods, our carrier may re-attempt to deliver your purchase. You are responsible for ensuring that someone is available at the given address to accept delivery of goods. Depending on the carrier, you may be able to organise alternative arrangements directly with the carrier. You need to ensure you have signed up with the relevant carrier for alternative arrangements (e.g. UPS MyChoice). Please contact your local Customer Service teams via the “Contact Us” page for details.

13. Every effort will be made to deliver the goods as soon as possible after your order has been accepted and in any event within 30 days of your order. However, TTI will not be liable for any loss or damage suffered by you through any unavoidable delay which is beyond our reasonable control or which does not arise due to our negligence. If there is a delay, we will inform you about it as soon as possible. We will endeavour to deliver your order in line with your specified requirements. You will receive an email when your order has been processed and despatched. Please allow up to 5 working days to receive your Order Confirmation.

14. If you are not able to accept delivery when it is attempted our carrier will leave a ‘missed delivery' card with your tracking number and date of attempted delivery. Our carrier may attempt delivery up to three times. If our carrier is unsuccessful with all delivery attempts, the shipment will be returned to TTI warehouse and a refund will be processed to your account for the sums you have paid for the goods to the credit or debit card that you used originally. Shipping charges that you paid originally will not be refunded back to you.

The company reserves the right to apply a processing charge in scenarios described in the Employee Sales Policy under section 3.

15. You will become the owner of the goods you ordered and be responsible for risk of loss of or damage to them once they have been delivered to you.

RETURNS

16. Unless a longer period is specified in a particular offer, you have a legal right to withdraw from the purchase contract within 14 days after the day on which you receive the goods by notifying TTI of the withdrawal within said time limit. If you withdraw, you must return the goods to TTI without undue delay and in any event not later than 14 days after notifying us of the withdrawal.

17. To send back a product, please go to the “Contact Us” page and fill out the cancellation form. In your message, please include details of your order (order number, item number that you wish to cancel, quantity, reason for cancellation) to help us to identify it. The submission of the cancellation form triggers the 14 days right-of-return period mentioned in section 16. Your local Customer Service team will contact you to carry out an initial check of your eligibility for returns. This does not guarantee your right for refund. Once the return is approved, you will be provided with a Return Merchandise Authorisation (RMA) number and claims number. You must attach the RMA to the returned products for proper and speedy identification upon receipt.

It is your responsibility to ensure:

  • The goods that you are returning must be un-used, unless the goods are faulty;
  • The goods are packed properly with its original packaging so that they are returned in sellable conditions;
  • The user manual is in the package;
  • The original delivery notes and the Return Merchandise Authorisation (RMA) details provided to you are attached to the goods for return.

Failure to do the above may result in a delay or rejection of refunds. We are permitted by law to reduce any reduction in the value of the goods, including but not limited to any reduction in value due to wear and tear, if this has been caused by your handling them in a way which would not be permitted in a shop (for example, using the goods before returning them to us or damaging any packaging or the goods which was not reasonably required for you to check the goods to establish their nature, characteristics or functionality).

18. If you make a return for faulty product or shipping error, you will receive a refund for the price of the goods and any delivery costs you have paid.

For other returns, you will receive a refund less any price reduction according to section 17 above, and less any delivery costs for collecting your return goods. We will arrange our carriers to collect the goods from you and you will cover the costs of collection. The costs of any such collection will vary depending on the size and nature of the goods being returned. We will confirm the cost of collection when you contact TTI Customer Services to arrange for collection and the costs of such will be deducted from your final refund.

The company reserves the right to apply a processing charge in scenarios described in the Employee Sales Policy under section 3.

19. To receive details about how you return goods to us, please go to the “Contact Us” page on the website and send us a message. We will pay any refunds due to you as soon as possible and in any event within 14 days after the day on which we receive the goods back from you.

LIMITATION OF LIABILITY

20. Nothing in these Terms of Sale shall limit TTI’s liability for death or personal injury arising from its negligence or willfulness, any mandatory statutory liability (in particular to the Product Liability Act), liability for assuming a specific guarantee, liability for damages caused by willful misconduct or gross negligence or for fraud, fraudulent misrepresentation by TTI or its employees.

Subject to the provisions in the preceding paragraph of this clause 20, our statutory liability for damages shall be limited as follows: (i) we shall be liable only up to the amount of damages as typically foreseeable at the time of entering into the contract in respect of damages caused by a slightly negligent breach of a material contractual obligation (i.e. a contractual duty the fulfilment of which is essential for the proper execution of the contract, the breach of which endangers the purpose of the contract and on the fulfilment of which you regularly rely); and (ii) we shall not be liable for damages caused by a slightly negligent breach of a non-material contractual obligation.

To the extent our liability is limited or excluded, the same shall apply in respect of any personal liability of our legal representatives, employees and vicarious agents.

22. If the goods supplied to you develop a defect while under warranty, or you have any other complaint about the goods, you should notify TTI. You can do this in writing via the “Contact Us” page.

APPLICABLE LAW & LANGUAGE

23. Please note that these Terms are governed by English law, unless they conflict with law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). This means a contract for the purchase of goods through our website and any dispute or claim arising out of or in connection with it will be governed by English law. This choice of law does not affect any mandatory statutory provisions of your country of residence, which will apply regardless.

We are neither obliged to nor do we participate in dispute resolution proceedings before a consumer arbitration body. COMPLAINTS

25. Any complaints should both be placed in writing, and addressed to our Customer Service team, by email using the address provided on the “Contact Us” page.

FAULTY OR DAMAGED GOODS

26. TTI prides itself on delivering complete customer satisfaction on all of its product and services. In the unlikely event that goods arrive damaged or faulty, please contact our team via the “Contact Us” page who will advise you further and arrange a replacement if necessary. If the goods are faulty, please refer to our warranty terms, please see clauses 21 to 24 above.

TAKE BACK SCHEME (TBS)

27. In accordance with the UK Waste Electrical and Electronic Equipment (WEEE) regulations, TTI offers customers a Take Back Scheme. This scheme works on a free take back basis so when you buy an equivalent product from TTI, TTI will recycle your old product. The WEEE item returned must fulfil the same function as the item bought. You must return your old item within 28 days of purchasing your new item or you will no longer be eligible for the scheme.
